1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the SafeChat mobile application, web platform, and administration portal (together, the "Service"), provided by [Company Legal Name] ("SafeChat", "we", "us", or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
SafeChat is a personal safety platform that provides features including, but not limited to: one-tap SOS alerts with location sharing, personal safety networks, secure messaging between individuals and organizations, community reporting, and an AI-powered safety assistant. Features available to you may depend on your account type and the organizations or companies you are connected to.
3. Eligibility & Accounts
- You must be at least [minimum age, e.g., 16] years old to create an account and use the Service.
- You must provide accurate, current, and complete information when registering, and keep that information up to date.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us promptly at [contact email] if you suspect any unauthorized use of your account.
4. Account Types & Responsibilities
SafeChat supports several account types, each with its own responsibilities:
- Individual: Personal accounts that can trigger SOS alerts, build safety networks, message connected organizations, and use the AI Safety Assistant.
- Organization: Accounts for NGOs, hospitals, police departments, and similar entities that receive and respond to SOS alerts, messages, and community reports from individuals.
- Company: Accounts for employers that manage employee access and internal communication channels.
- Employee: Accounts created under a Company account, subject to that Company's internal policies in addition to these Terms.
- Service Provider: Accounts for entities offering bookable safety-related services through the platform.
Organizations, Companies, and Service Providers are responsible for the accuracy of information they post and for responding appropriately to communications received through the Service.
5. Emergency Services Disclaimer
SafeChat is not a replacement for official emergency services.
The Service is designed to supplement, not replace, contacting your local police, fire, medical, or other emergency services directly. SOS alerts, location sharing, and notifications are delivered on a best-effort basis over the internet and mobile networks, and we cannot guarantee delivery, response time, or that any particular organization or contact will be available or able to respond.
In any life-threatening situation, contact your local emergency number (e.g., 911, 999, 112, or your country's equivalent) immediately, in addition to using SafeChat.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, or to harass, threaten, or harm others;
- Submit false, misleading, or fraudulent SOS alerts, reports, or community posts;
- Attempt to gain unauthorized access to other users' accounts, data, or to any part of the Service's infrastructure;
- Interfere with or disrupt the integrity or performance of the Service, including through reverse engineering, scraping, or introducing malicious code;
- Impersonate any person or entity, or misrepresent your affiliation with an organization or company;
- Use the Service in any way that violates applicable local, national, or international law or regulation.
We reserve the right to investigate suspected violations and to suspend or terminate accounts that violate these Terms.
7. User Content
"User Content" means any information you submit to the Service, including messages, community posts, incident reports, profile information, and SOS details. You retain ownership of your User Content. By submitting User Content, you grant SafeChat a worldwide, non-exclusive, royalty-free license to host, store, transmit, and display that content solely for the purpose of operating and providing the Service (for example, delivering your messages to their intended recipients, or routing your SOS alert to your safety network and connected organizations).
You are solely responsible for your User Content and represent that you have all rights necessary to submit it and that it does not violate any law or the rights of any third party.
8. AI Safety Assistant
The AI Safety Assistant provides general information related to emergency procedures, legal rights, and safety resources. It is not a substitute for professional legal, medical, or mental health advice, and it is not a substitute for contacting emergency services. Responses are generated automatically and may occasionally be inaccurate or incomplete. You should independently verify any important information and seek qualified professional help where appropriate.
9. Intellectual Property
The Service, including its software, design, graphics, logos, and the SafeChat name and marks, is owned by [Company Legal Name] and its licensors and is protected by intellectual property laws. Except for the limited license to use the Service as intended, these Terms do not grant you any rights to our intellectual property.
10. Third-Party Services
The Service relies on certain third-party providers to operate — for example, to process messages sent to the AI Safety Assistant and to deliver transactional emails. These providers process data only as necessary to provide their services to us, as described in our Privacy Policy. The Service may also contain links to third-party websites or services that are not owned or controlled by SafeChat; we are not responsible for the content, policies, or practices of any third-party sites.
11. Termination
You may stop using the Service and request deletion of your account at any time by contacting us at [contact email]. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for SafeChat or other users, or if required to do so by law. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, and limitations of liability) will survive.
12. Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SOS ALERTS OR MESSAGES WILL ALWAYS BE DELIVERED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAFECHAT AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE — INCLUDING ANY DELAY OR FAILURE IN THE DELIVERY OF AN SOS ALERT OR MESSAGE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS LIMITS ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
13. Indemnification
You agree to indemnify and hold harmless SafeChat and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content, or your violation of these Terms or applicable law.
14. Governing Law
These Terms are governed by the laws of [Governing Law Jurisdiction], without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in [Jurisdiction/Venue], unless otherwise required by applicable law.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice (such as an in-app notification). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
